OpenAI signed a 20-year lease for roughly 8 gigawatts of a proposed 10 GW campus in Pike County, Ohio, near a former uranium enrichment site. SB Energy, a SoftBank unit, will build, own and operate it. Nvidia is investing $1.5 billion in SB Energy, backstopping the first 4.25 GW and, per Wall Street Journal reporting, standing behind up to $105 billion of value difference if OpenAI exits and no replacement tenant is found.

Ground leases and build-to-suits normally live or die on tenant covenant strength. Here the covenant has been synthesized. Nvidia is not the tenant, not the landlord and not the operator. It is the residual-value insurer, standing behind an asset it will neither occupy nor own.

That inversion exists because nobody can underwrite eight gigawatts of single-tenant demand over twenty years on conventional terms. The lease term is long, the counterparty is young, and the improvement is functionally single-purpose. Absent a backstop, the debt does not price.

Note what SB Energy is really selling. Not space. Delivered electrons on a schedule, with $33 billion of generation and more than $4 billion of transmission wrapped inside a 20-year lease. Power, not square footage, is the leased commodity.

The land assembly deserves its own attention. Permit filings identify more than 1,000 acres of private parcels under purchase option around the federal site, with construction starting in October. Site control was solved before the tenant was public.

Implications: If a supplier will guarantee residual value, the asset finances at a cost of capital its tenant could never achieve alone. Expect the template to be copied, and expect lenders to start asking who is standing behind the next hyperscale lease. When the answer is the tenant's largest vendor, the diligence question is no longer the tenant's balance sheet. It is the vendor's.
