The headline offer is $2B. The amount SVC could use to reduce debt depends on the transaction’s costs and final terms.

TKO LLC made an unsolicited cash proposal for Service Properties Trust’s hotel portfolio. SVC confirmed receipt on October 9 and said its board would review it. The published response does not accept the offer.

Connect CRE reports 93 hotels and 21,110 keys across full-service, select-service and extended-stay properties. Dividing the proposed $2B by those keys gives approximately $94,700 per key, a CRE360 calculation. It is not a completed-sale comparison or an implied cap rate.

The October 7 proposal expressly leaves secured and unsecured debt with SVC. Existing management and franchise contracts would be terminated at the seller’s expense unless assumed. The offer excludes SVC’s net-lease assets and its Sonesta equity stake.

The purchase terms are nonbinding. Diligence, acceptable title, third-party consents and regulatory approvals remain conditions, although TKO states there is no financing contingency. Its requested acceptance deadline is October 16 at 5 p.m. Eastern.

Bisnow reported 206 hotels in March 2025; SVC reported 93 as of June 30, 2026. That is a lower reported count, not proof of exactly 113 disposals or a matched revenue cohort.

The investment question is net proceeds after retained obligations and exit costs, plus execution risk. Hotel NOI is still missing from these reviewed sources.

Key Takeaways

  • The $2B headline is gross proposed consideration. Seller-retained debt, contract termination costs and closing conditions matter to the proceeds SVC could deploy.
  • Approximately $94,700 per key is derived from $2B divided by 21,110 keys. It does not establish a cap rate or fair value without hotel earnings and asset-level details.
