The Signal
Thursday, October 22, 2026 — Based on the October 21 research batch.
CBRE announced on October 20 that it agreed to acquire London-based Onnec Group, an infrastructure services company that designs, deploys and maintains network, fiber and data center infrastructure. Initial consideration is £460M (about $610M) in cash, plus up to £300M (about $400M) over several years if growth thresholds are met. Closing is expected around year-end 2026, subject to regulatory approvals.
Onnec expects approximately £370M ($498M) revenue and more than £50M ($67M) core EBITDA in 2027. It has about 800 employees and serves hyperscalers in the UK, Continental Europe and Asia Pacific. Including Onnec, CBRE expects its Critical Infrastructure Services business line to approach $4.5B of revenue in 2027.
Separately, Pine Tree announced an acquisition of the sponsor interest in a 10-property, 3.5M-SF open-air portfolio from SITE Centers in partnership with an international investor. The portfolio was appraised at $644M; transaction pricing and the precise stake were not disclosed. The release is dated October 20, with October 19 page metadata; neither establishes the closing date. This adds portfolio detail to October 19 SITE Centers coverage.
Our Read
The initial consideration is less than 9.2 times forecast 2027 core EBITDA. Maximum £760M consideration is less than 15.2 times that forecast, because EBITDA exceeds £50M. These derived upper bounds use forecasts, rather than trailing results. Initial consideration is approximately 1.24 times forecast revenue.
The contingent £300M is approximately 39.5% of the maximum consideration. Its eventual payout is uncertain, while maximum consideration is disclosed. The structure leaves part of the growth risk with the seller, and CBRE retains integration and operating risks. The initial payment is payable in the transaction, rather than cash already paid.
The relevance to real estate is the services business CBRE agreed to acquire. The release does not establish that Onnec owns zero buildings. Nor does the absence of cited U.S. operations establish an absence of U.S. customers. Its forecast $498M revenue represents approximately 11% of the Critical Infrastructure Services business line’s projected revenue, not an accounting segment.
Pine Tree’s transaction illustrates why structure matters. The approximately $184 per SF is appraised value divided by area, not the price paid. A sponsor interest does not establish a precise ownership percentage or governance rights. An off-market transaction does not prove that competitive bidding was absent.
Stakeholder Lens
Developers and landowners can read CBRE’s investment as a commitment to infrastructure services supporting data center construction and maintenance. Lenders should distinguish initial consideration, contingent payments and forecast results. Retail investors need the actual stake, governance and transaction price before treating the appraisal as an acquisition comparable.
