Two multifamily legal stories put underwriting assumptions under a sharper lens. Landlord-funded RealPage settlements received court approval in October; ZOM Holding Inc. entered Chapter 11 on October 30 while pursuing an appeal. Neither development ends every outstanding risk. The practical questions are about rent-model inputs, the entity signing a joint venture, and ownership of project data.

About $360M in landlord settlements

$218M from 11 landlords in the May 2026 agreements, plus more than $141.8M from 27 landlords in the October 2025 batch. These are settlement amounts—not evidence that payments have been distributed to renters. RealPage itself did not supply this landlord settlement pool.

The October 15, 2026 order covers the settling defendants. No admission of liability was made. Restrictions address the provision and use of nonpublic competitor data in rent recommendations. Claims against nonsettling defendants remain unaffected; the order also preserves specified state sovereign and quasi-sovereign enforcement claims.

ZOM: verdict → judgment → Chapter 11

  • October 2025: jury verdict in Gray's contract dispute with ZOM Holding.
  • May 2026: judgment following the verdict and post-trial proceedings.
  • October 30, 2026: ZOM Holding Inc. files Chapter 11 while pursuing an appeal of a judgment exceeding $300M.

ZOM said its separate development holding affiliate had not filed and would provide financing for the bankruptcy process. The company said property operations were not expected to be affected. That statement does not establish that guarantees, cross-defaults or other affiliate exposures are absent.

Two underwriting checks

  • Rent-setting inputs: identify the data feeding the revenue model and review applicable settlement restrictions. Do not assume every operator is subject to identical terms.
  • JV signing and data rights: confirm the contracting entity, non-circumvention obligations, ownership of project information and the consequences if the relationship ends.

Still pending

Nonsettling and state litigation, ZOM's appeal, and the outcome of its proposed asset-sale process. An approved settlement is not proof of completed distribution; a bankruptcy filing is not a determination of the appeal.

The takeaway: Legal exposure belongs beside the rent roll and debt schedule in underwriting.

Key Takeaways

Legal exposure belongs in underwriting.
